Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you and OSOTCAM governing your access to and use of our website at www.osotcam.com, associated mobile applications and all related services (collectively, the "Platform"). By accessing or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform[cite: 253].

1. About OSOTCAM

OSOTCAM is a open medicines delivery marketplace operating in the Kingdom of Cambodia[cite: 255]. We connect consumers with independently licensed, Ministry of Health (MoH)-verified pharmacies to enable convenient and safe access to medicines and health products via delivery[cite: 256]. OSOTCAM acts as a marketplace intermediary and technology platform; we do not manufacture, dispense, or warehouse medicines directly[cite: 257].

3. Acceptance and eligibility

3.1 Acceptance

By accessing the Platform in any way — including browsing, submitting an enquiry form, creating an account, or placing an Order — you agree to be legally bound by these Terms, our Privacy Policy (available at osotcam.com/legal/privacy), and any additional terms applicable to specific features or services[cite: 268]. These documents together form the complete agreement between you and OSOTCAM[cite: 269].

3.2 Eligibility

You may use the Platform only if[cite: 271]:

  • You are at least 18 years of age, or you are a minor accessing the Platform under the direct supervision and with the consent of a parent or legal guardian who accepts these Terms on your behalf[cite: 272];
  • You have the legal capacity to enter into a binding contract under the laws of Cambodia or your jurisdiction[cite: 273];
  • You are not prohibited from using the Platform under any applicable law[cite: 274]; and
  • You have not previously had your account suspended or terminated by OSOTCAM for a breach of these Terms[cite: 275].

Purchases of prescription medicines may only be made by persons who hold a valid prescription from a licensed medical practitioner[cite: 276]. By ordering a prescription medicine, you represent that you hold such a prescription and that the prescribed medicine is for your own use or that of a person in your care[cite: 277].

3.3 Acting on behalf of another person

If you place an Order or submit an enquiry on behalf of another person (for example, a family member), you represent that you have authority to accept these Terms on their behalf and that the personal data you provide about them is accurate and disclosed with their knowledge[cite: 278, 279].

4. Nature of the Platform — important disclaimer

OSOTCAM is a marketplace, not a pharmacy or medical service provider[cite: 281].

OSOTCAM provides a technology platform that enables Consumers to browse and order medicines from Partner Pharmacies. OSOTCAM does not dispense, compound, store, or deliver medicines directly. The contractual sale of medicines is between you and the Partner Pharmacy. OSOTCAM is not a licensed pharmacy and is not responsible for the clinical suitability of any medicine for your individual health circumstances[cite: 281].

  • Medicine fulfilment, dispensing, and any pharmacist consultation are the sole responsibility of the Partner Pharmacy[cite: 283];
  • Content in the Health Hub, including articles and condition guides, is for general educational purposes only and does not constitute medical advice[cite: 284];
  • OSOTCAM does not verify the accuracy of self-reported health information entered by Users[cite: 285];
  • Nothing on the Platform creates a doctor-patient or pharmacist-patient relationship between OSOTCAM and any User[cite: 286];
  • You should always consult a qualified healthcare professional before starting, changing, or stopping any medication[cite: 287].

5. Account registration and security

5.1 Creating an account

Certain features of the Platform, including placing Orders and uploading prescriptions, require you to register an account[cite: 290]. When registering, you must provide accurate, current, and complete information[cite: 291]. You are responsible for maintaining the accuracy of your account information and for promptly updating it if it changes[cite: 292].

5.2 Account security

You are responsible for maintaining the confidentiality of your account credentials (username, password, and OTP codes). You agree to[cite: 294]:

  • Not share your account credentials with any third party[cite: 295];
  • Notify OSOTCAM immediately at support@osotcam.com if you suspect any unauthorised use of your account[cite: 296];
  • Ensure you log out from your account at the end of each session on shared devices[cite: 297].

OSOTCAM will never ask for your full password or OTP code via Telegram, email, or any other communication channel[cite: 298]. Any such request should be treated as fraudulent and reported to us immediately[cite: 299].

5.3 One account per user

Each user may maintain only one account. Creating multiple accounts to circumvent restrictions, exploit promotions, or for any other reason is prohibited and may result in the suspension of all associated accounts[cite: 300, 301].

5.4 Account termination by user

You may close your account at any time by contacting us at support@osotcam.com[cite: 303]. Account closure does not affect any Order already in progress, any outstanding financial obligation, or OSOTCAM's right to retain data as required by law or these Terms[cite: 304].

6. Ordering, payment, and delivery

6.1 Placing an Order

When you place an Order through the Platform, you are making an offer to purchase the selected products from the relevant Partner Pharmacy at the price displayed[cite: 306, 307]. An Order is confirmed, and a binding sale contract formed between you and the Partner Pharmacy, when the Partner Pharmacy accepts your Order and OSOTCAM sends you an Order confirmation notification[cite: 308].

6.2 Pricing

Product prices are set by Partner Pharmacies and displayed on the Platform inclusive of any applicable taxes[cite: 310]. A separate delivery fee may apply depending on the distance, pharmacy, and order value[cite: 311]. OSOTCAM reserves the right to display promotions, discounts, or commission-based price adjustments in accordance with its commercial arrangements with Partner Pharmacies[cite: 312]. All prices are displayed in Cambodian Riel (KHR) or United States Dollars (USD) as labelled[cite: 313].

6.3 Payment methods

OSOTCAM currently accepts the following payment methods[cite: 314, 315]:

  • ABA Bank payment (KHQR or bank transfer) [cite: 316]

Payment processing is handled by the respective payment service providers. OSOTCAM does not store your full payment card details[cite: 319]. By using a payment method, you agree to the terms and conditions of the relevant payment provider[cite: 320].

6.4 Prescription medicines

For prescription-only medicines, you must upload a valid, legible prescription from a licensed Cambodian medical practitioner before your Order can be processed[cite: 321, 322]. The Partner Pharmacy has the right — and the professional obligation — to reject any Order where the prescription is invalid, expired, illegible, or inappropriate for the medicine requested[cite: 323].

Uploading a fraudulent prescription is a serious offence under Cambodian law and will result in immediate account termination and may be referred to the relevant authorities[cite: 324].

6.5 Delivery

Delivery is arranged between OSOTCAM (or its logistics partners) and the Partner Pharmacy[cite: 325, 326]. Estimated delivery times are provided for guidance only and are not guaranteed[cite: 327]. OSOTCAM will make reasonable efforts to notify you of any material delay[cite: 328]. Risk in the products passes to you upon delivery to your nominated address[cite: 329].

6.6 Order cancellation and refunds

Once a Partner Pharmacy has accepted and begun preparing your Order, cancellation may not be possible[cite: 330, 331]. Refund eligibility is governed by OSOTCAM's Refund Policy, available at osotcam.com/legal/refund-policy[cite: 332]. Refunds for defective, incorrect, or damaged products will be processed in accordance with that policy and applicable Cambodian consumer protection provisions under the Law on Consumer Protection (2019)[cite: 333].

8. Health Hub content and medical disclaimer

Health Hub content is for educational purposes only — it is not medical advice[cite: 357].

The articles, condition guides, medicine information, and pharmacist Q&A responses published in the OSOTCAM Health Hub are intended to provide general health education to the Cambodian public. They do not constitute professional medical advice, diagnosis, or treatment recommendations for any individual. Always consult a licensed physician or pharmacist regarding your specific health circumstances[cite: 357].

OSOTCAM takes care to ensure Health Hub content is authored or reviewed by qualified pharmacists and healthcare professionals and is consistent with MoH guidelines[cite: 358]. However[cite: 359]:

  • Medicine dosages, interactions, and contraindications may vary between individuals — always confirm with your dispensing pharmacist[cite: 360];
  • Medical knowledge evolves — content may not reflect the most current clinical guidance[cite: 361];
  • OSOTCAM does not accept liability for any health outcome arising from a User's reliance on Health Hub content in place of professional medical advice[cite: 362];
  • The "Ask a Pharmacist" feature provides general guidance and does not substitute for a formal pharmacist consultation or prescription review[cite: 363].

9. Website enquiry form

The Platform includes a web-based enquiry form through which Users may submit questions, feedback, or service requests to OSOTCAM without creating an account[cite: 364, 365]. By submitting the enquiry form, you agree that[cite: 366]:

  • The information you provide is accurate and not misleading[cite: 367];
  • You consent to OSOTCAM using the contact details you provide to respond to your enquiry[cite: 368];
  • You will not use the enquiry form to submit spam, unsolicited commercial communications, or harmful content[cite: 369];
  • You will not submit sensitive personal health information, prescription images, or payment details through the general enquiry form — these must be submitted through secure in-Platform channels[cite: 370];
  • OSOTCAM may retain your enquiry and response for up to two years for quality assurance and records purposes, in accordance with our Privacy Policy[cite: 371];
  • Submission of an enquiry form does not create a contractual obligation on OSOTCAM to respond within any specific timeframe, though we aim to respond within two Cambodian business days[cite: 372].

10. Telegram communications

OSOTCAM operates a Telegram support channel at @osotcam_support. When you communicate with OSOTCAM via Telegram, the following terms apply[cite: 373, 374]:

  • Telegram is provided as a convenience channel for general support enquiries, order follow-up, and platform assistance — it is not a secure channel for transmitting prescriptions, payment credentials, or sensitive personal health data[cite: 375];
  • OSOTCAM staff will never request your account password, full payment card details, or OTP codes via Telegram[cite: 376];
  • OSOTCAM is not responsible for messages sent to accounts impersonating @osotcam_support — always verify you are communicating with the verified official channel[cite: 377];
  • Telegram's own Terms of Service and Privacy Policy govern the Telegram platform itself — OSOTCAM has no control over Telegram's data practices[cite: 378];
  • Conversations may be reviewed by OSOTCAM staff for quality assurance and retained for up to two years[cite: 379];
  • Any conduct via Telegram that would constitute prohibited conduct under Section 7 of these Terms (harassment, threats, fraud, etc.) may result in your account being blocked and may be referred to relevant authorities[cite: 380].

12. Intellectual property

12.1 OSOTCAM's rights

The Platform and all OSOTCAM Content — including but not limited to the OSOTCAM name, logo, trade marks, website design, software, Health Hub articles, product descriptions, and marketing materials — are the exclusive intellectual property of OSOTCAM or its licensors and are protected under Cambodian intellectual property law, the Law on Marks, Trade Names and Acts of Unfair Competition (2002), and the Law on Copyright and Related Rights (2003)[cite: 389, 390]. No part of the Platform or OSOTCAM Content may be reproduced, distributed, modified, publicly displayed, or otherwise exploited without OSOTCAM's prior written consent, except for your personal, non-commercial use within the Platform's intended functionality[cite: 391].

12.2 Your User Content — licence to OSOTCAM

When you submit User Content to the Platform (including reviews, questions submitted to the Health Hub, and feedback), you grant OSOTCAM a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, modify, display, and distribute that User Content in connection with operating and promoting the Platform[cite: 392, 393]. You retain ownership of your User Content but confirm that[cite: 394]:

  • You own or have the right to submit the User Content[cite: 395];
  • The User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party[cite: 396];
  • The User Content is accurate and not misleading[cite: 397].

12.3 Feedback

If you provide OSOTCAM with suggestions, ideas, or feedback about the Platform, OSOTCAM may use that feedback freely without any obligation of confidentiality or compensation to you[cite: 398, 399].

13. Privacy and data protection

Your use of the Platform is also subject to OSOTCAM's Privacy Policy, available at osotcam.com/legal/privacy, which is incorporated into these Terms by reference[cite: 400, 401]. The Privacy Policy explains how we collect, use, store, and share your personal data, including data collected through Google Analytics, Facebook Pixel, TikTok Pixel, Telegram, and the enquiry form[cite: 402]. By using the Platform, you confirm that you have read and understood the Privacy Policy[cite: 403]. To the extent that any provision of the Privacy Policy conflicts with these Terms on a matter of personal data processing, the Privacy Policy will prevail[cite: 404].

15. Indemnification

You agree to indemnify, defend, and hold harmless OSOTCAM and its officers, directors, employees, agents, and Partner Pharmacies from and against any claims, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to[cite: 427, 428]:

  • Your breach of these Terms or any applicable law[cite: 429];
  • Your use of the Platform in a manner not authorised by these Terms[cite: 430];
  • Any User Content you submit, including any claim that your User Content infringes the rights of a third party[cite: 431];
  • Your submission of a fraudulent or invalid prescription[cite: 432];
  • Any misrepresentation you make in connection with your account or any Order[cite: 433].

17. Account suspension and termination

17.1 Termination by OSOTCAM

OSOTCAM reserves the right to suspend, restrict, or permanently terminate your access to the Platform, with or without notice, if OSOTCAM reasonably believes you have[cite: 439, 440]:

  • Breached any provision of these Terms[cite: 441];
  • Engaged in fraudulent, illegal, or harmful conduct[cite: 442];
  • Created a risk to OSOTCAM's platform integrity, reputation, or other Users[cite: 443];
  • Failed to pay any amount owed to OSOTCAM or a Partner Pharmacy[cite: 444];
  • Provided false or misleading information during registration or in connection with any Order[cite: 445].

Where feasible and not contrary to OSOTCAM's legal obligations or security interests, OSOTCAM will provide notice of suspension or termination and an opportunity to respond[cite: 446].

17.2 Effect of termination

Upon termination of your account[cite: 447, 448]:

  • Your right to access and use the Platform ceases immediately[cite: 449];
  • Any pending Orders may, at OSOTCAM's discretion, be cancelled or fulfilled depending on their status[cite: 450];
  • OSOTCAM retains the right to retain your data as required by applicable law and these Terms[cite: 451];
  • Any accrued obligations or liabilities (including outstanding payments) remain enforceable after termination[cite: 452].

18. Changes to these Terms

OSOTCAM may amend these Terms from time to time to reflect changes in our services, applicable law, or business practices[cite: 453, 454]. When we make material changes, we will[cite: 455]:

  • Post the updated Terms on the Platform with a revised "Last updated" date[cite: 456];
  • Notify registered Users via email or in-app notification at least 14 calendar days before the changes take effect[cite: 457];
  • Where required by law, seek your affirmative consent to continue using the Platform under the revised Terms[cite: 458].

Your continued use of the Platform after the effective date of any amended Terms constitutes your acceptance of those Terms[cite: 459]. If you do not agree to the amended Terms, you must stop using the Platform before the effective date of the changes[cite: 460]. Archived versions of prior Terms are available upon request[cite: 461].

19. Governing law and dispute resolution

19.1 Governing law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of the Kingdom of Cambodia, without regard to its conflict of law principles[cite: 463, 464].

19.2 Informal resolution

We encourage you to contact us in the first instance if you have a dispute or complaint regarding your use of the Platform[cite: 465, 466]. The majority of issues can be resolved quickly through direct communication[cite: 467]. You may contact us at support@osotcam.com or via Telegram @osotcam_support[cite: 468]. We commit to acknowledging complaints within three Cambodian business days and responding substantively within fourteen calendar days[cite: 469].

19.3 Formal dispute resolution

If a dispute cannot be resolved informally within 30 days, either party may refer the matter to the competent courts of the Kingdom of Cambodia located in Phnom Penh, which shall have exclusive jurisdiction over any legal proceedings arising from these Terms[cite: 470, 471]. Consumer protection disputes may also be raised with the Cambodian Consumer Protection Competition and Fraud Repression Directorate-General (CCF) under the Ministry of Commerce[cite: 472].

20. General provisions

20.1 Entire agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and OSOTCAM regarding your use of the Platform and supersede all prior agreements, representations, or understandings[cite: 474, 475].

20.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable Cambodian law, that provision will be severed from the remaining Terms, which will continue in full force and effect[cite: 476, 477].

20.3 Waiver

OSOTCAM's failure to enforce any right or provision of these Terms on any occasion does not constitute a waiver of that right or provision and does not prevent OSOTCAM from enforcing it in the future[cite: 478, 479].

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without OSOTCAM's prior written consent[cite: 480, 481]. OSOTCAM may assign these Terms, in whole or in part, in connection with a corporate restructuring, merger, or sale of assets, with notice to registered Users[cite: 482].

20.5 Language

These Terms are drafted in English. In the event of any conflict or inconsistency between an English version and any translation, the English version will prevail[cite: 483, 484].

20.6 No partnership or employment

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and OSOTCAM[cite: 485, 486]. Neither party has authority to bind the other in any manner not expressly set out in these Terms[cite: 487].
